1. Grant of License
Subject to the terms and conditions of this Agreement, BookBanquetRoom hereby grants to the Customer a non-exclusive, non-transferable, and limited right to access and use the hospitality management software services. This license is provided solely for the internal business purposes of the Customer and is contingent upon the timely payment of all applicable fees.
2. Definitions
In this Agreement, the following terms shall have the meanings ascribed to them: "Software" refers to the cloud-based event and banquet management platform developed by BookBanquetRoom. "Customer" refers to the legal entity entering into this agreement for the purpose of utilizing the software. "Service" refers to the overall platform accessibility, including hosting, maintenance, and support provided by BookBanquetRoom.
3. Use of Software
The Customer shall use the Software in a professional and lawful manner. Prohibited activities include but are not limited to: attempting to reverse engineer the code, sharing access credentials with third parties without prior written consent, and using the platform to store or transmit illicit material. BookBanquetRoom reserves the right to suspend access if any violation of this clause is detected.
4. Your Obligations
The Customer is responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Furthermore, the Customer agrees to comply with the following financial obligations:
4.1 Payment
All fees are quoted in the currency specified in the Order Form. Payments must be made via the designated payment gateway or bank transfer as agreed upon at the time of subscription. Subscriptions are billed in advance on a monthly or annual basis.
4.2 Late Payments
Invoices not paid within fifteen (15) days of the due date will be subject to a late fee of 1.5% per month, or the maximum rate permitted by law, whichever is lower. BookBanquetRoom may suspend services for any account with an overdue balance exceeding thirty (30) days.
4.3 Taxes
Fees do not include any taxes, levies, duties or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever. The Customer is responsible for paying all taxes associated with their purchase.
4.4 General
The Customer agrees to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to do so may result in account termination.
5. Refund Policy
Given the bespoke nature of the configuration and the intangible quality of software-as-a-service, BookBanquetRoom generally operates a no-refund policy for partially used subscription periods. However, a full refund may be issued if requested within 48 hours of the initial purchase, provided no significant system configuration has taken place. All refund requests must be submitted in writing to our billing department.
